This website is operated by Vilona Onyx. Throughout the website, the terms “Vilona Onyx,” “we,” “us,” and “our” refer to Vilona Onyx.
Vilona Onyx offers this website, including all information, content, tools, products, custom services, and other services available through the website, conditioned upon your acceptance of these Terms of Service.
By visiting our website, creating an account, submitting an inquiry, requesting a custom proposal, placing an order, or purchasing a product or service from us, you agree to be bound by these Terms of Service, together with our Refund Policy, Privacy Policy, Shipping Policy, and any other policies or agreements referenced on our website or provided with your order.
These Terms apply to all website users, including browsers, customers, designers, contractors, trade professionals, vendors, and individuals who submit content or information.
Please read these Terms carefully before accessing or using the website. If you do not agree to these Terms, you may not access the website or use our services.
Our online store is hosted by Shopify Inc., which provides the e-commerce platform that allows us to offer and sell our products and services.
SECTION 1 — ELIGIBILITY AND ONLINE STORE USE
By agreeing to these Terms, you represent that you are at least the age of majority in your state or country of residence and have the legal capacity to enter into a binding agreement.
You may not use our website, products, or services for any unlawful, fraudulent, or unauthorized purpose. You may not violate any applicable federal, state, local, or international law while using the website.
You must not transmit viruses, worms, malicious code, automated attacks, or any other technology that could interfere with the operation or security of the website.
A breach of these Terms may result in immediate suspension or termination of your access to the website or services.
SECTION 2 — ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You consent to receive communications from us electronically, including order confirmations, invoices, estimates, shipping notifications, custom-order approvals, policy notices, and other transactional communications.
Electronic communications, approvals, signatures, order submissions, and payments may be treated as legally binding to the extent permitted by applicable law.
You are responsible for providing a current email address, telephone number, billing address, and delivery address. We are not responsible for delays or missed communications caused by inaccurate or outdated information provided by you.
Marketing emails or text messages, where offered, are governed by the separate consent language presented when you subscribe. Consent to marketing is not required as a condition of purchasing a product.
SECTION 3 — GENERAL CONDITIONS
We reserve the right to refuse service, decline a custom project, cancel an order, restrict quantities, or limit access to the website when reasonably necessary, including in cases involving suspected fraud, payment disputes, abusive conduct, pricing errors, product unavailability, safety concerns, or violations of these Terms.
Any refusal or cancellation will remain subject to applicable consumer-protection laws and our obligation to refund amounts for products or services that we do not provide.
You agree not to reproduce, duplicate, copy, sell, resell, scrape, exploit, or commercially use any portion of the website, product photography, product designs, descriptions, videos, artwork, or other content without our prior written permission.
Headings are provided for convenience and do not limit the meaning of these Terms.
SECTION 4 — PRODUCTS AND NATURAL-STONE CHARACTERISTICS
Vilona Onyx offers natural-stone furniture, lighting, mirrors, wall panels, sculptures, bowls, decorative objects, and related products. Many products are handcrafted from natural onyx, fluorite, agate, petrified wood, crystal, metal, and other naturally occurring materials.
Natural stone is inherently variable. Variations may include differences in:
- Color, tone, translucency, and opacity;
- Mineral deposits, inclusions, veining, banding, and pattern;
- Surface texture, pits, pores, fissures, and crystalline areas;
- Edge shape, live-edge movement, thickness, and dimensions;
- Appearance under different lighting conditions; and
- Minor tool marks or dimensional tolerances associated with hand fabrication.
These characteristics are part of the material’s natural beauty and are not ordinarily considered manufacturing defects.
No two natural-stone products are exactly alike. We do not guarantee that a product will match another item, sample, photograph, prior production run, or previously viewed piece unless that exact match is expressly guaranteed by us in writing.
Some product listings show the exact piece the customer will receive. Other listings may use representative photographs. The product description will control when it identifies whether the photographed piece is the exact item offered.
SECTION 5 — PRODUCT IMAGES, COLOR, AND LIGHTING
We make reasonable efforts to present product photographs, videos, measurements, and descriptions accurately. However, the appearance of natural stone may vary based on screen settings, room lighting, bulb temperature, camera exposure, editing, reflections, and the surrounding environment.
Illuminated and unilluminated photographs may show significantly different appearances of the same stone. This difference is expected and is not a defect.
We do not guarantee that the color displayed on your monitor, phone, tablet, or other device will precisely match the physical product.
Measurements are approximate unless expressly stated otherwise. Minor variations may occur because many products are hand-cut, hand-finished, or fabricated around naturally shaped materials.
SECTION 6 — PRICES, FEES, AND TAXES
Prices are listed in U.S. dollars unless otherwise stated.
We may change product prices at any time before an order is accepted. Price changes will not retroactively change the price of an accepted and paid order unless the customer agrees to a modification or a clear pricing error occurred.
We will clearly disclose mandatory charges imposed by Vilona Onyx as required by applicable law. Government-imposed taxes, delivery charges, shipping charges, optional services, installation, white-glove service, storage, custom modifications, and other separately selected services may be added where permitted and will be disclosed before the customer becomes obligated to pay them.
Applicable sales tax will be collected where required by law.
For custom products or services where the final price cannot reasonably be determined in advance, the proposal, estimate, or invoice may describe the factors used to determine the price. Additional work requested by the customer may require a revised estimate or change order.
International customers are responsible for customs duties, import taxes, brokerage fees, and other charges imposed by the destination country unless we expressly agree otherwise in writing.
SECTION 7 — ORDERS AND ORDER ACCEPTANCE
Submitting an order does not guarantee acceptance. An order is accepted when we confirm acceptance, capture or approve payment, begin fulfillment, or otherwise communicate that the order has been accepted.
An automated order-confirmation email confirms that we received the order but does not necessarily constitute final acceptance.
We reserve the right to reject or cancel an order for reasons including:
- Product unavailability;
- Duplicate or suspicious orders;
- Suspected fraud or unauthorized payment;
- Incorrect product, shipping, or pricing information;
- Delivery restrictions or safety concerns;
- An inability to verify customer information;
- A website or technical error; or
- Conduct that violates these Terms.
If we cancel an order after receiving payment, we will refund the applicable amount, except for authorized charges already earned under a custom-order agreement or as otherwise permitted by law.
We may limit orders placed under the same customer account, payment method, billing address, shipping address, household, business, or affiliated purchaser.
Products are not reserved until the required payment or deposit has cleared unless we agree otherwise in writing.
SECTION 8 — PAYMENT
You agree to provide complete, current, and accurate billing and payment information.
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment processors to charge the amounts shown at checkout or stated in the applicable invoice.
We may require identity verification, address verification, a signed authorization, cleared funds, a wire transfer, or an alternative payment method before accepting or shipping a high-value order.
Payment terms for custom products, special orders, hand delivery, installation, trade purchases, or large freight orders will be stated in the applicable proposal or invoice. We may require a deposit or full payment before sourcing materials, beginning fabrication, reserving inventory, scheduling delivery, or performing services.
Returned payments, disputed payments, chargebacks, or payment reversals do not eliminate amounts properly owed under an accepted order or custom agreement.
SECTION 9 — CUSTOM, MADE-TO-ORDER, AND MODIFIED PRODUCTS
Custom, made-to-order, commissioned, special-order, resized, modified, personalized, or customer-approved products may be governed by a separate proposal, drawing, invoice, approval, or custom-order agreement.
When a signed proposal, invoice, drawing, or custom-order agreement conflicts with these Terms, the transaction-specific document will control for that particular order.
The customer is responsible for reviewing and approving all applicable details, including:
- Dimensions and orientation;
- Stone selection and color family;
- Metal finish;
- Lighting specifications;
- Cord color and length;
- Mounting method;
- Delivery access;
- Ceiling or wall conditions; and
- Drawings, renderings, or design details.
Customer approval authorizes us to proceed based on the approved information. Changes requested after approval may result in additional charges, revised completion dates, material loss, or the need to restart part of the work.
Custom natural-stone products cannot be duplicated exactly. Renderings, drawings, samples, and photographs are design references and may not depict the exact natural pattern, translucency, or coloring of the completed stone.
Deposits and advance payments for custom work may become nonrefundable once stone, metal, electrical components, freight, labor, or other materials have been ordered, reserved, cut, modified, or placed into production, except where otherwise required by law or expressly stated in writing.
Cancellation of custom work requires our written approval. Any approved refund may be reduced by design time, material costs, fabrication performed, merchant-processing fees where legally permitted, shipping expenses, and other costs already incurred.
Estimated fabrication and delivery dates are good-faith estimates and are not guaranteed unless expressly identified as guaranteed in writing.
SECTION 10 — SHIPPING AND DELIVERY ESTIMATES
Shipping and delivery dates are estimates unless expressly guaranteed in writing.
We will make reasonable efforts to ship within the time stated on the product page, proposal, invoice, or order confirmation. If no shipping period is stated, we will handle the order in accordance with applicable law.
If an unexpected delay prevents us from shipping within the required or promised period, we will provide notice and any delay-consent or cancellation options required by applicable law.
Shipping and delivery may be affected by fabrication schedules, stone sourcing, carrier availability, weather, road conditions, customs, labor interruptions, mechanical problems, natural disasters, or other circumstances outside our reasonable control.
A delay does not automatically constitute a breach when we comply with applicable notice and refund requirements.
SECTION 11 — FREIGHT, WHITE-GLOVE, AND HAND DELIVERY
Large, heavy, fragile, or high-value products may be shipped by freight carrier, specialty carrier, white-glove carrier, or hand-delivery service.
The level of service included with an order will be stated in the product listing, Shipping Policy, invoice, or separate written agreement.
Unless expressly included, delivery does not include:
- Installation;
- Electrical connection;
- Wall or ceiling mounting;
- Assembly;
- Removal of existing furniture or fixtures;
- Structural modifications;
- Stair carries or difficult-access delivery;
- Crane, lift, or rigging services; or
- Disposal of packaging or crates.
The customer is responsible for providing accurate delivery information and ensuring that the delivery location has adequate access, doorway clearance, elevator capacity, parking, loading access, floor protection, and sufficient personnel where required.
Additional charges may apply for incorrect addresses, missed appointments, redelivery, remote locations, restricted access, stairs, storage, inside placement, packaging removal, or conditions not disclosed before delivery.
If the customer delays or refuses delivery for reasons unrelated to verified damage or nonconformity, the customer may be responsible for reasonable storage, redelivery, return-freight, handling, or restocking costs, subject to applicable law and our published policies.
SECTION 12 — DELIVERY INSPECTION AND DAMAGE CLAIMS
The customer or the customer’s authorized representative should inspect the shipment promptly at delivery.
For freight deliveries, visible damage to the crate, packaging, or product should be photographed and noted on the carrier’s delivery receipt before signing whenever reasonably possible.
Failure to note visible damage may make a carrier claim more difficult, but it does not eliminate any non-waivable rights provided by law.
The customer should preserve all packaging, crates, shipping documents, and damaged materials until the claim has been evaluated.
Shipping damage, missing items, or material discrepancies must be reported to us as soon as reasonably possible and within any time period stated in our Refund Policy or Shipping Policy. The report should include the order number, photographs of the packaging, photographs of the product, and a description of the issue.
Do not install, repair, alter, discard, or continue moving a visibly damaged product until we provide instructions. Installing or modifying a damaged item may affect available remedies when the modification causes additional damage or prevents evaluation of the original condition.
SECTION 13 — RISK OF LOSS AND TITLE
Ownership, risk of loss, and responsibility for goods will transfer as provided by applicable law and the applicable shipping or delivery terms.
Nothing in these Terms eliminates responsibility that cannot legally be transferred or limits rights relating to products lost or damaged before legally effective delivery.
Where a carrier is selected directly by the customer and is not acting as our delivery provider, the customer may assume additional responsibility for claims involving that carrier.
SECTION 14 — INSTALLATION, MOUNTING, AND SITE CONDITIONS
Many Vilona Onyx products are heavy and require careful handling, appropriate structural support, and professional installation.
The customer is responsible for confirming that walls, ceilings, floors, mounting surfaces, electrical systems, junction boxes, anchors, blocking, studs, and other site conditions are appropriate for the product.
Any installation guidance provided by Vilona Onyx is general information and is not a substitute for an on-site evaluation by a qualified contractor, engineer, installer, or electrician.
Unless installation services are expressly included in writing, Vilona Onyx is not responsible for installation, structural modification, electrical work, permits, code compliance, or the performance of third-party installers.
Customers should not climb, sit, stand, hang, or place excessive weight on products not designed for that purpose.
Mirrors, wall panels, lighting fixtures, tall towers, sculptures, and other heavy items must be properly secured when appropriate. Vilona Onyx is not responsible for injury or damage caused by improper mounting, inadequate structural support, misuse, unauthorized modification, or failure to follow applicable installation requirements.
SECTION 15 — ELECTRICAL AND LIGHTING PRODUCTS
Products containing bulbs, sockets, LED components, dimmers, drivers, cords, switches, remote controls, or other electrical parts must be used in accordance with the product specifications and applicable electrical codes.
Hardwired products must be installed and connected by a properly licensed electrician where required by law.
Vilona Onyx does not perform regulated electrical work unless expressly stated in writing and legally permitted.
The customer must confirm compatibility with the property’s voltage, wiring, controls, dimming system, junction box, and intended environment before installation.
Do not exceed the recommended bulb wattage or modify electrical components without written authorization.
Bulbs, remotes, drivers, dimmers, or other replaceable electrical components may have different warranty coverage than the handcrafted stone or metal portion of a product.
Unless expressly identified for such use, products are not represented as suitable for outdoor areas, wet locations, direct water exposure, or other specialized environments.
SECTION 16 — RETURNS, REFUNDS, AND EXCHANGES
Returns, refunds, cancellations, exchanges, and store credits are governed by our Refund Policy, available through the website footer and checkout.
Custom, commissioned, made-to-order, modified, personalized, installed, used, clearance, final-sale, or specially sourced products are not eligible for return or exchange unless expressly agreed in writing, provided by our Refund Policy, or required by law.
A return must be authorized before the product is shipped back. Unauthorized returns may be refused.
Returned products must satisfy the condition, packaging, timing, and shipping requirements stated in the Refund Policy.
Original shipping, freight, white-glove, hand-delivery, installation, crating, and return-shipping charges may be nonrefundable unless the return results from our error, verified covered damage, or another circumstance requiring reimbursement by law.
No provision of these Terms or our Refund Policy limits any right that cannot legally be waived.
SECTION 17 — STORAGE AND CUSTOMER DELAYS
When an order is complete or ready for delivery, the customer must reasonably cooperate in arranging pickup, shipment, or delivery.
If the customer delays delivery, refuses to schedule delivery, fails to provide access, or requests that we hold a completed product, we may charge reasonable storage, handling, insurance, redelivery, or rescheduling fees after providing notice.
Extended customer-caused delays may require the remaining balance to be paid before storage continues.
We are not responsible for deterioration, additional handling risk, carrier-rate increases, or other costs caused by an unreasonable customer delay, except to the extent caused by our negligence or prohibited by law.
SECTION 18 — THIRD-PARTY SERVICES AND INSTALLERS
We may provide information about carriers, installers, electricians, contractors, designers, financing providers, payment processors, or other third parties.
Unless expressly stated otherwise, these third parties are independent businesses and are not employees, agents, partners, or representatives of Vilona Onyx.
We do not control and are not responsible for a third party’s work, advice, pricing, scheduling, conduct, terms, or services.
Customers should independently evaluate third-party providers and review their applicable licenses, insurance, qualifications, contracts, and policies.
Complaints concerning an independent third-party service should be directed to that provider, while complaints concerning a Vilona Onyx product should be directed to us.
SECTION 19 — ACCURACY OF INFORMATION AND ERRORS
We make reasonable efforts to maintain accurate product descriptions, dimensions, pricing, availability, delivery information, and website content.
Occasionally, the website may contain typographical errors, incorrect prices, inaccurate dimensions, outdated availability, or other omissions.
We reserve the right to correct errors, update information, and cancel or modify affected orders when reasonably necessary. If an accepted order is canceled because of our error, we will refund amounts paid for the canceled portion.
We are not obligated to honor an obviously incorrect price or product description when the error would be apparent to a reasonable customer, subject to applicable law.
Historical information may be provided for reference and may not reflect current inventory, pricing, or services.
SECTION 20 — OPTIONAL TOOLS AND THIRD-PARTY LINKS
We may provide access to third-party applications, payment services, design tools, social-media platforms, financing services, or other tools that we do not control.
Third-party tools are provided subject to the third party’s own terms and policies. Your use of them is at your discretion and risk.
Links to third-party websites do not constitute an endorsement. We are not responsible for the availability, security, content, privacy practices, products, or services of third-party websites.
SECTION 21 — CUSTOMER CONTENT, REVIEWS, AND SUBMISSIONS
When you submit a review, photograph, video, testimonial, social-media tag, comment, or other content intended for publication, you grant Vilona Onyx a nonexclusive, worldwide, royalty-free license to reproduce, display, edit for length or formatting, distribute, and use that content for lawful business and promotional purposes.
You retain ownership of your original content.
You represent that you have the right to submit the content and that our permitted use will not violate another person’s intellectual-property, privacy, publicity, or contractual rights.
You may not submit unlawful, defamatory, threatening, fraudulent, obscene, infringing, malicious, or misleading content.
We may remove or decline to publish content that violates these Terms or applicable law.
Confidential design information, private customer communications, and unpublished custom plans are not treated as public submissions merely because they are sent to us for purposes of completing an order.
SECTION 22 — INTELLECTUAL PROPERTY
The website and its contents, including the Vilona Onyx name, logos, product names, photographs, videos, written descriptions, graphics, website design, custom designs, renderings, sculptures, metalwork, and other materials, are owned by or licensed to Vilona Onyx and are protected by applicable intellectual-property laws.
No content may be copied, modified, reproduced, distributed, commercially displayed, reverse engineered, or used to create competing products or marketing materials without our prior written permission.
Purchasing a product does not transfer ownership of our trademarks, photographs, designs, drawings, marketing materials, or other intellectual property.
SECTION 23 — PROHIBITED USES
You may not use the website or its content:
- For an unlawful or fraudulent purpose;
- To violate another person’s legal rights;
- To infringe intellectual-property rights;
- To submit false, misleading, or impersonated information;
- To distribute malware or malicious code;
- To collect personal information without authorization;
- To spam, phish, scrape, crawl, or access the website through unauthorized automated means;
- To interfere with website security or functionality;
- To harass, threaten, abuse, defame, or discriminate against another person;
- To manipulate reviews, transactions, promotions, or payment systems; or
- To use our photographs, designs, descriptions, or content to misrepresent another product as a Vilona Onyx product.
We may suspend or terminate access for prohibited conduct.
SECTION 24 — PRIVACY
Our collection, use, disclosure, and protection of personal information are governed by our Privacy Policy, available through the website footer and checkout.
The Privacy Policy is incorporated into these Terms by reference.
You are responsible for reviewing the Privacy Policy before providing personal information.
SECTION 25 — DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED WITH A PARTICULAR PRODUCT, THE WEBSITE, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
VILONA ONYX DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, UNINTERRUPTED, OR ERROR-FREE.
WE DO NOT WARRANT THAT A NATURAL-STONE PRODUCT WILL HAVE UNIFORM COLOR, PATTERN, TRANSLUCENCY, THICKNESS, VEINING, OR MINERAL COMPOSITION.
Nothing in this section excludes an express written warranty, a legal guarantee that cannot be waived, or rights available under applicable consumer-protection law.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to every customer.
SECTION 26 — LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILONA ONYX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS ARISING FROM THE WEBSITE, SERVICES, OR PRODUCTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PARTICULAR PRODUCT, ORDER, OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO VILONA ONYX FOR THE PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot lawfully be limited, including liability resulting from fraud, willful misconduct, or other conduct for which limitation is prohibited by law.
Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply to every customer.
SECTION 27 — INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless Vilona Onyx and its owners, officers, employees, contractors, affiliates, and service providers from third-party claims, damages, liabilities, and reasonable legal expenses arising from:
- Your unlawful use of the website;
- Your violation of these Terms;
- Your infringement of another party’s rights;
- Information or content submitted by you;
- Your unauthorized alteration or misuse of a product; or
- Installation, mounting, electrical work, or structural work performed by you or a third party under your control.
This section does not require you to indemnify Vilona Onyx for claims caused by Vilona Onyx’s own negligence, willful misconduct, or violation of law.
SECTION 28 — FORCE MAJEURE
Vilona Onyx will not be responsible for a delay or failure caused by circumstances beyond our reasonable control, including severe weather, natural disasters, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, government action, border delays, customs delays, quarry interruption, material shortage, transportation disruption, labor interruption, power failure, carrier failure, or supplier failure.
This section does not eliminate any obligation to provide shipping-delay notices, cancellation options, or refunds required by applicable law.
SECTION 29 — TERMINATION
These Terms remain effective until terminated by you or Vilona Onyx.
You may terminate your use of the website at any time by discontinuing access to the website.
We may suspend or terminate your access if you violate these Terms or use the website in a manner that threatens the security, operation, rights, or interests of Vilona Onyx or another person.
Termination does not eliminate payment obligations, ownership rights, warranty limitations, liability limitations, dispute provisions, or other obligations intended to survive termination.
SECTION 30 — GOVERNING LAW AND VENUE
These Terms and transactions with Vilona Onyx are governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law principles.
Subject to any non-waivable right to bring a claim elsewhere, legal proceedings relating to these Terms or a transaction with Vilona Onyx shall be brought in a state or federal court of competent jurisdiction located in Colorado.
Before filing a lawsuit, the parties are encouraged to make a good-faith attempt to resolve the dispute directly through written communication.
Nothing in this section prevents either party from seeking emergency injunctive relief or using a small-claims court that has lawful jurisdiction.
SECTION 31 — SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the unenforceable portion will be severed.
The remaining provisions will remain valid and enforceable.
SECTION 32 — WAIVER
A failure by Vilona Onyx to enforce a provision of these Terms does not waive that provision or any other right.
A waiver is effective only when made in writing by an authorized representative of Vilona Onyx.
SECTION 33 — ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without our prior written consent.
We may assign these Terms in connection with a merger, sale, reorganization, transfer of assets, change in ownership, or succession of the business, subject to applicable law.
SECTION 34 — ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
